Law Clerk/Business Clerk (Ref #D2LLWC2010)
General Description:
The main responsibilities of the Law Clerk/Business Clerk is to aid in all stages of corporate, regulatory, and intellectual property transactions and with the preparation of documents necessary to comply with international, federal, state, provincial and local regulations in the conduct of business activities. This includes document preparation and review, corporate filings, and other assistance as required.

Main Duties:
- Corporate Filings:
- Assist in the preparation of all documents required to form (or amend) corporations, partnerships and limited liability companies throughout the world
- Create and maintain corporate minute books, for all corporate entities
- Maintain all articles of incorporation, bylaws, amendments, shareholder agreements as required
- Maintain all corporate registrations, as needed
- Maintain tickler system for filing deadlines
- Legal Invoices:
- Review outside counsel invoices and present for General Counsel approval
- Interface with Accounting to ensure proper payments
- Legal Department Assistance:
- Assist the legal department with the following intellectual property tasks which may include
- Trademark research and registration
- Copyright research and registration
- Assisting inside or outside counsel on patent inquiries and registration
- Assist the legal department with a variety of other tasks which may include
- Document analysis
- Document gathering and preparation
- Data Entry
- Policy and procedure support
- Assist other members of the legal department as needed, which may include taking minutes, participating in conference calls with vendors and/or clients
- Assist in the procurement process which may include vendor selection and negotiation
- Legal Research and Compliance:
- Research issues related to locality as required
- Assist in developing a central resource of upcoming legislative changes that may affect the company
- Assist in developing compliance policies for legislative changes or contracted requirements
- Co-Manage Data Repository:
- Assist in the management of the legal department file systems
- Assist in the management of the legal department internal website
- Provide insight and recommendations on the handling and scaling of the legal departments document creation and storage needs.
Work Experience and Qualifications:
- 5+ years of Law Clerk or equivalent experience. (This can be either in house, or within a firm but some in house experience is preferred.)
- 3+ years of experience in corporate filings, international experience helpful
- 2+ years document analysis and legal research
- Comfortable with on-line research
- Excellent attention to detail
- Very strong technical aptitude, including
- Microsoft Office suite of applications
- Ability to create and use templates is required
- Microsoft Sharepoint
- Very strong internet searching skills
- Ability to troubleshoot minor technical issues.
- Fundamental respect for confidentiality and non disclosure principles
- Self directed, with exceptional initiative
- Above average grammar and spelling abilities
- Well functioning sense of humor
Education Recommendations:
- Diploma/degree in a related field preferred
