THIS CONTEST IS OPEN ONLY TO RESIDENTS OF CANADA (EXCLUDING RESIDENTS OF QUEBEC) AND THE 50 UNITED STATES (INCLUDING THE DISTRICT OF COLUMBIA). CONTEST IS GOVERNED BY CANADIAN LAW.

NO PURCHASE NECESSARY. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.


1. CONTEST PERIOD:

The 2013 EDGE Challenge Contest (the“Contest”) begins on August 26, 2013 at 9:00 a.m. Eastern Time (“ET”) and ends on December 16, 2013 at 4:30 p.m. ET (the“Contest Period”). Desire2Learn reserves the right to extend the Contest period at its sole and absolute discretion.

2. ELIGIBILITY:

Contest is open to students enrolled as of September 30, 2013 in a post-secondary institution (the determination of whether or not a student is enrolled shall be at the sole discretion of the Sponsor) who are: (i) legal residents of Canada (excluding residents of Quebec) or the 50 United States (including the District of Columbia); and (ii) are over the age of majority in their province/state/territory of residence at the time of entry; or (iii) are between the ages of 13 and the age of majority in their province/state/territory of residence at the time of entry (individually and collectively a “Minor”) provided the Minorís parent/legal guardian has accepted and agreed to be legally bound by these Rules (defined below) on the Minorís behalf; except current or former employees, representatives or agents (and those with whom such persons are domiciled, whether related or not) of Desire2Learn Incorporated (the “Sponsor”), its affiliated companies, prize suppliers and advertising/promotion agencies (collectively, the “Contest Parties”). Void where prohibited.

NOTE TO MINORS: Each eligible Minor must submit (in addition to the information noted below in Rule 3) his/her parent/legal guardianís full name, valid email address and phone number at the time of entry. The Sponsor reserves the right, in its sole and absolute discretion, on a random audit basis to contact a Minorís parent/legal guardian for the purposes of verifying his/her: (i) agreement to be legally bound by these Rules (defined below); (ii) consent to the Minorís participation in this Contest; and/or (iii) consent to the collection of the Minorís personal information.

3. HOW TO ENTER:

The Contest is in no way sponsored, endorsed or administered by, or associated with Facebook. You understand that you are providing your information to the Sponsor and not to Facebook. The information you provide will only be used for the administration of this Contest and in accordance with the Sponsorís privacy policy (see below). Facebook is completely released of all liability by each entrant in this Contest. Any questions, comments or complaints regarding the Contest must be directed to the Sponsor and not Facebook.

To enter, go to www.desire2learn.com/edgechallenge(the “Website” ) and follow the on-screen instructions to obtain the Official Contest Entry Form (the “Form” ). Fully complete the Form with all required information, which requires you to: (i) enter your full name, birth month and year, complete mailing address (including postal / zip code), valid email address, telephone number, team name, team URL and Team Captainís name (and provide your parent/legal guardianís full name, valid email address and phone number in the space provided if you are a Minor); and (ii) signify your (and your parent/legal guardianís on your behalf if you are a Minor) agreement that you have read and agree to be legally bound by the terms and conditions of these Official Rules and Regulations (the “Rules”). Once you have fully completed the Form with all required information, a Team Captain should be designated to fulfill the contest Submission Requirements.

To fulfill the Contest Submission Requirements, each Team Captain is required to submit, in accordance herewith, a link to a URL for a Pitch Video (as defined below) hosted on YouTube™, a link to a URL for a Final Video (as defined below) hosted on YouTube and a link to a URL for an Application (as defined below).

On or before November 11, 2013 at 4:30 p.m. ET (the “Pitch Video Deadline”), each Team Captain should go to www.desire2learn.com/edgechallenge and follow the on-screen instructions to submit a link to a URL for one (1) video (the “Pitch Video”) pitching an idea for a mobile, web or desktop application (the “Application”) that enhances the experience of students, instructors or administrators in an educational context. To be eligible, the Pitch Video must be in accordance with the specific Submission Requirements listed below in Rule 4.

The final step in entering the Contest is the submission of the Application and video demonstrating the Application (the “Final Video”). On or before Monday, December 16, 2013 at 4:30 p.m. ET (the “Final Submission Deadline” ), each Team Captain should go to www.desire2learn.com/edgechallenge and follow the on-screen instructions to submit a link to a URL for one (1) Final Video and to submit a link to a URL at which his or her teamís Application can be accessed. To be eligible, the Final Video and Application must be in accordance with the specific Submission Requirements listed below in Rule 4. Once your Team Captain has provided the URL for your Final Video and the URL at which his or her teamís Application can be accessed, you and every other member of your team should confirm the submission of the Team Captain (Form, Pitch Video, Final Video and Application hereinafter collectively referred to as “Entry/Entries”).

Each Entry must be unique and original.

Your Entry will be rejected if (in the sole and absolute discretion of the Sponsor): (i) any team memberís Form is not fully completed with all required information and submitted and received during the Contest Period; (ii) your Pitch Video, Final Video or Application is not submitted in accordance with these Rules; and/or (iii) your Pitch Video, Final Video or Application is not in accordance with the specific Submission Requirements listed below in Rule 4. Use (or attempted use) of multiple names, identities, email addresses and/or any automated, macro, script, robotic or other system(s) or program(s) to enter or otherwise participate in or disrupt this Contest is prohibited and is grounds for disqualification by the Sponsor. The Releasees (defined below) are not responsible for late, lost, misdirected, delayed, incomplete or incompatible Entries (all of which are void)

All Entries are subject to verification at any time. The Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor Ė including, without limitation, government issued photo identification) to participate in this Contest. Failure to provide such proof to the satisfaction of the Sponsor in a timely manner may result in disqualification. The sole determinant of the time for the purposes of a valid Entry in this Contest will be the Contest server machine(s).

4. SUBMISSION REQUIREMENTS:

BY SUBMITTING AN ENTRY, YOU (OR YOUR PARENT/LEGAL GUARDIAN ON YOUR BEHALF IF YOU ARE A MINOR) AGREE THAT THE ENTRY (AND EACH INDIVIDUAL COMPONENT THEREOF) COMPLIES WITH ALL CONDITIONS STATED IN THESE RULES. THE RELEASEES (DEFINED BELOW) WILL BEAR NO LEGAL LIABILITY REGARDING THE USE OF YOUR ENTRY. THE RELEASEES (DEFINED BELOW) SHALL BE HELD HARMLESS BY YOU (AND YOUR PARENT/LEGAL GUARDIAN ON YOUR BEHALF IF YOU ARE A MINOR) IN THE EVENT IT IS SUBSEQUENTLY DISCOVERED THAT YOU HAVE DEPARTED FROM OR NOT FULLY COMPLIED WITH ANY OF THESE RULES.

Your submitted Pitch Video, Final Video and/or Application must never have been previously selected as a winner in any other contest.

To be eligible for entry in this Contest, your Pitch Video, Final Video and Application, as applicable, must meet the following specific requirements:

The Application can be built for a mobile, web or desktop environment or any combination of those environments, using any software environment, APIs, or frameworks (including, without limitation, the Desire2Learn Valence platform).

Application must be accessible by the Sponsor and all judges appointed by the Sponsor from December 16, 2013 at 4:30 p.m. ET though February 15, 2013 at 4:30 p.m. ET (the “Adjudication Period”) for the purposes of adjudication.

All necessary keys, user accounts, passwords and other credentials must be supplied to the Sponsor at the time of submission and must remain effective until the close of the Adjudication Period.

The Application must not be offered for sale or otherwise distributed prior to the end of the competition period.


By participating in the Contest, you (or your parent/legal guardian on your behalf if you are a Minor) warrant and represent that your Pitch Video, Final Video and Application:

  1. are original to you (or your team, as applicable) and that you (or your team, as applicable) have all necessary rights (including, without limitation, consent of any videographer) in and to your Pitch Video, Final Video and Application to enter the Contest;
  2. do not violate any law, statute, ordinance or regulation;
  3. do not contain any reference to or likeness of any identifiable third parties, unless consent has been obtained from all such individuals and their parent/legal guardian if they are under the age of majority in their jurisdiction of residence (Note: If you cannot obtain the consent of an individual appearing in your Pitch Video, Final Video and Application, then his/her face must be blurred out, name must be limited to first name only and voice altered so as to be unrecognizable, as applicable);
  4. will not give rise to any claims of infringement, invasion of privacy or publicity, or infringe on any rights and/or interests of any third party, or give rise to any claims for payment whatsoever;
  5. is not defamatory, trade libelous, pornographic or obscene, and further that it will not contain, depict, include, discuss or involve, without limitation, any of the following: nudity; alcohol/drug consumption or smoking; explicit or graphic sexual activity, or sexual innuendo; crude, vulgar or offensive language and/or symbols; derogatory characterizations of any ethnic, racial, sexual, religious or other groups (including, without limitation, any competitors of the Sponsor); content that endorses, condones and/or discusses any illegal, inappropriate or risky behaviour or conduct; personal information of individuals, including, without limitation, names, telephone numbers and addresses (physical or electronic); commercial messages, comparisons or solicitations for products or services other than products of the Sponsor; any identifiable third party products, trade-marks, brands and/or logos, other than those of the Sponsor (e.g. any clothing worn and/or products appearing in your Video must not contain any visible logos, trade-marks or other third party materials unless the appropriate consents have been obtained --- Note: all identifiable third party products, trade-marks, brands and/or logos for which consent has not been obtained by the entrant must be blurred out so as to be unrecognizable); conduct or other activities in violation of these Rules; and/or any other content that is or could be considered inappropriate, unsuitable or offensive, all as determined by the Sponsor in its sole and absolute discretion.

The Sponsor and/or its promotional agency or designated content moderator (the “Reviewer”) will initially screen every Entry. Any Entry that the Reviewer deems, in its sole and absolute discretion, to violate the terms and conditions set forth in these Rules will be subject to disqualification. Prior to accepting the Entry for consideration in this Contest, the Reviewer reserves the right, in its sole and absolute discretion, to edit or modify any Entry, or to request you to modify, edit and/or re-submit your Entry or any part thereof, in order to ensure that the Entry complies with these Rules, or for any other reason.

By entering the Contest and submitting an Entry, you (or your parent/legal guardian on your behalf if you are a Minor): (i) grant to the Sponsor, in perpetuity, a non-exclusive license to publish, display, reproduce, modify, edit or otherwise use your Entry, in whole or in part, for advertising or promoting the Contest or the Sponsorís products and services or for any other reason; (ii) waive all moral rights in and to your Entry, or any part thereof, in favor of the Sponsor; and (iii) agree to release and hold harmless the Contest Parties and each of their respective agents, employees, directors, successors, and assigns (collectively, the “Releasees”) from and against any and all claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trade-mark infringement or any other intellectual property related cause of action that relate in any way to your Pitch Video, Final Video or Application. For greater certainty, the Reviewer reserves the right, in its sole and absolute discretion and at any time during the Contest, to modify, edit or remove or require the removal of any Pitch Video, Final Video and Application, or to request you to modify or edit your Pitch Video, Final Video and Application, for any reason. Notwithstanding the above, ownership of the Entry is not transferred to the Sponsor.

5. THE PRIZES AND APPROXIMATE RETAIL VALUE:

There will be one (1) grand prize available to be won consisting of US$10,000 cash plus a trip for two (2) team members and one (1) mentor to Fusion 2014, Desire2Learnís annual users conference, from July 14, 2014 to July 16, 2014 (for two (2) nights total) to be held in Nashville, Tennessee (the “Trip”). The Trip includes round trip airfare (economy class) for three (3) people to Nashville, Tennessee from the Canadian or U.S. international gateway airport nearest each team member's residence (as determined by the Sponsor in its sole and absolute discretion); and accommodation for three (3) (based on double occupancy) for two (2) nights in a hotel determined by the Sponsor in its sole and absolute discretion and three (3) passes to attend Fusion 2014; collectively with an approximate retail prize value of US$16,000 (including $10,000 cash prize) based on a Toronto, Ontario departure example, although the actual retail value may vary depending on the point of departure (collectively, the “Grand Prize”). No difference between the actual and approximate retail values will be awarded. Choice of flights, airline(s), hotel accommodations (including, without limitation, room size and occupancy) are at the sole and absolute discretion of the Sponsor. Desire2Learn reserves the right to increase the Grand Prize at its sole and absolute discretion.

Without limiting the generality of the foregoing, the following general conditions apply to the Grand Prize: (i) Grand Prize must be accepted as awarded and is not transferable, assignable and/or or convertible to cash (except as may be specifically permitted by the Sponsor in its sole and absolute discretion); (ii) no substitutions except at the Sponsorís option; (iii) all travel related to the Grand Prize must occur within the dates specified above (otherwise the Grand Prize may, in the sole and absolute discretion of the Sponsor, be forfeited in its entirety and, if forfeited, nothing will be substituted in its place); (iv) the winners must: (a) travel on same itinerary; (b) have all necessary documentation to permit travel (e.g. passport, visa); and (c) not have any barrier to entry or re-entry into the United States or Canada; (v) the costs of everything not specifically stated above as included in the Grand Prize are the sole and absolute responsibility of the winners, including, without limitation: meals and drinks; gratuities; entertainment; health and travel insurance; transportation for winner and his/her travel companion to and from the Canadian or U.S. international gateway airport nearest the winner's residence; transportation while in the city selected as the location of Fusion 2014; excess baggage fees; and items of a personal nature (Note: Winners may be required to present a valid major credit card in each winnerís name at the time of hotel check-in to cover any incidental expenses); (vi) if a winner does not utilize any part(s) of the Grand Prize, then any such part(s) not utilized may, in the sole and absolute discretion of the Sponsor, be forfeited in their entirety and, if forfeited, nothing will be substituted in their place; (vii) the Sponsor reserves the right at any time to: (a) place reasonable restrictions on the availability or use of the Grand Prize or any component thereof; and (b) substitute the Grand Prize or a component thereof for any reason with a prize or prize component(s) of equal or greater value, including, without limitation, but solely at the Sponsorís sole discretion, a cash award; (viii) all travel arrangements relating to the Grand Prize must be made through the Sponsor or its designated agents; (ix) by accepting the Grand Prize, the winner agrees to waive all recourse against the Releasees if the Grand Prize or a component thereof does not prove satisfactory, either in whole or in part; (x) each winner must: (a) either be of the age of majority in his/her province/territory/state of residence or have the express written consent (in form and substance satisfactory to the Sponsor, in its sole and absolute discretion) to participate on the Grand Prize trip; and (b) sign (and have his or her parent/legal guardian if he or she is under the age of majority in his or her jurisdiction of residence) and return the Sponsorís release (by the date indicated on the release form) indicating that he or she waives all recourse against the Releasees relating to his or her participation in the Grand Prize (including, without limitation, any travel related thereto); and (xi) the Grand Prize will only be awarded to the eligible entrant whose verifiable full name and valid e-mail address appears on the Entry Form.

In the event that a confirmed Grand Prize winner resides within a 300 km radius of the city selected as the location of Fusion 2014 (as determined by the Sponsor in its sole and absolute discretion), the Grand Prize will not include airline travel or transportation to and from the city selected as the location of Fusion 2014 and no alternative prizing will be provided. In such a case, the approximate retail value of that Grand Prize is US$13,500 (including $10,000 cash prize).

Additional prizes may be made available at the sole discretion of the Sponsor and will be announced at www.desire2learn.com/edgechallenge/prizes. Limit one prize per Entry. For greater certainty, the Grand Prize winner will not be eligible for any other prizes.

Any prize awarded to a team will be awarded to the Team Captain only, and will be awarded only if the Team Captainís verifiable full name and valid email address appears on the Form submitted by the Team Captain. It will be up to the Team Captain to allocate prizes appropriately amongst team members as the Team Captain sees fit. You hereby waive all recourse to or against Desire2Learn with respect to your Team Captainís allocation of any and all prizes.

Each prize must be accepted as awarded and is not transferable, assignable or convertible to cash (except as may be specifically permitted by the Sponsor in its sole and absolute discretion). No substitutions except at the Sponsorís option. The Sponsor reserves the right, in its sole and absolute discretion, to substitute a prize or a component thereof with a prize of equal or greater value, including, without limitation, but at the Sponsorís sole and absolute discretion, a cash award.

For US residents only: The value of any prize will be taxable to its recipient as income. All federal, state and local taxes and any other costs and expenses associated with the acceptance and/or use of a prize not specifically provided for in these Rules are solely the recipientís responsibility. Recipient is solely responsible for reporting and paying any and all applicable taxes. Recipient must provide the Sponsor with valid identification and a signed Form W-9 with a valid taxpayer identification number or social security number before any prize will be awarded. Any residents of the 50 United States that wins US$600 or more in prizes will have income reported to them on IRS Form 1099, as required under IRS rules and a copy of said form will be sent to the IRS.

6. WINNER SELECTION:

AUDIENCE CHOICE

After the Pitch Video Deadline, all eligible Pitch Videos will be added to the Audience Choice Public Voting Forum.

Audience Choice public voting opens November 18, 2013 at 9:30 a.m. ET and closes on November 29th, 2013 at 4:30 p.m. ET (the “Voting Period”). The top three (3) videos that receive the greatest number of votes will bypass the Short-Listing process (as set out below) and automatically advance to Final Judging (as defined below). Any team that does not submit its Final Video and Application by the Final Submission Deadline will be disqualified from Final Judging and a replacement will not be selected. Desire2Learn reserves the right to disqualify any Audience Choice team in its sole and absolute discretion, even after final voting has been tallied.

The following restrictions will apply to the Audience Choice Public Voting Forum:

LIMIT: a voter can vote only once during the Voting Period.

If it is discovered that attempts were made by a voter (or any individual purporting to be a voter) to: (i) vote more than once during the Voting Period; (ii) use any automated, script, macro or robotic program(s) to submit or attempt to submit a vote or votes; or (iii) engage in systematic voting from the same computer/IP address; then it may result in the disqualification, in the sole and absolute discretion of the Sponsor, of the vote, the Entry voted for, and/or (if the voter is a member of a team that entered the Contest), the voterís team.

All votes are subject to verification. The Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor) from any voter to participate in this Contest or for any votes entered, or purportedly entered, by such voter to be considered valid for the purposes of this Contest.

The Sponsor reserves the right to adopt a voting verification mechanism of its choosing. If a vote is not validated in accordance with the mechanism adopted by the Sponsor, then the Sponsor reserves the right to discard that vote.

Voting does not ultimately determine Contest winners or Prize recipients.

SHORT-LISTING

After the Pitch Video Deadline, all eligible Pitch Videos will be judged by Sponsor staff. The results of the Short-Listing process are at the sole discretion of the Sponsor and results are final and binding.

To determine which Entries will be short-listed, Sponsor staff will consider each Pitch Video using the following judging criteria:

  • Innovation: Will the application introduce a great new idea?
  • Impact: Will this solution enhance the experience of learners, instructors or administrators in an educational context?

Entries deemed ďQualifying EntriesĒ in the Short-Listing will advance to the Final Judging. Any team that does not submit a Final Video and Application by the Final Submission Deadline will be disqualified from Final Judging.

FINAL JUDGING

A panel of judges (the “Contest Judges”) appointed by the Sponsor will judge the Final Videos and Applications of all eligible Entries (“Final Judging”) on the basis of the following weighted criteria:

Each Final Video and Application will be given a score (the “Score”) by the Contest Judges. Odds of being selected as the eligible winner of any prize depend on the number and calibre of eligible Entries received in accordance with these Rules during the Contest Period. The eligible entrant associated with the top Entry based on total Score (as determined by the Contest Judges, in their sole and absolute discretion) will be selected as the eligible winner of the Grand Prize (subject to compliance with these Rules). In the event of a tie between two or more eligible Entries based on total Score, the eligible entrant associated with the eligible Entry Ė from amongst all such eligible Entries that are tied Ė with the highest score on Criteria 1 will be deemed to be the eligible winner of the Prize (subject to compliance with these Rules). In the event there is still a tie between two or more eligible Entries based on the score for Criteria 1, the eligible entrant associated with the eligible Entry Ė from amongst all such eligible Entries that are still tied Ė with the highest score on Criteria 2 will be deemed to be the eligible winner of the Prize (subject to compliance with these Rules). In the event there is still a tie between two or more eligible Entries based on the score for Criteria 2, the eligible entrant associated with the eligible Entry Ė from amongst all such eligible Entries that are still tied Ė with the highest score on Criteria 3 will be deemed to be the eligible winner of the Prize (subject to compliance with these Rules). In the event there is still a tie between two or more eligible Entries based on the score for Criteria 3, a new panel of judges will be appointed by the Sponsor to break the tie. Judging is scheduled to be completed on or about January 22, 2013 (the “Selection Date”).

The Sponsor or its designated representative will make a minimum of two (2) attempts to contact the Team Captain of a selected entrant by telephone or email (using the information provided on the Form) within five (5) business days of the Selection Date. If a selected entrant cannot be contacted within five (5) business days of the Selection Date, or if there is a return of any notification as undeliverable; then that selected entrant will be disqualified (and will forfeit all rights to the prize) and the Sponsor reserves the right, in its sole and absolute discretion, to select an alternate eligible entrant based on the next highest Score in accordance with these Rules to be the eligible winner of the prize (in which case the foregoing provisions of this section shall apply to such new eligible winner of the prize).

BEFORE BEING DECLARED A CONFIRMED PRIZE WINNER, each team member of a selected entrant (and his or her parent/legal guardian on his or her behalf if the team member of the selected entrant is a Minor) will be required to sign and return within three (3) business days of notification the Sponsorís declaration and release form, which (among other things): (i) confirms compliance with these Rules; (ii) acknowledges acceptance of the prize as awarded; (iii) releases the Releasees from any and all liability in connection with this Contest, his/her participation therein and/or the awarding and use/misuse of the prize or any portion thereof; (iv) agrees to the publication, reproduction and/or other use of his/her name, address, voice, statements about the Contest and/or photograph or other likeness without further notice or compensation, in any publicity or advertisement carried out by or on behalf of the Sponsor in any manner whatsoever, including print, broadcast or the internet; (v) grants a perpetual license to the Sponsor and its affiliates to all of his or her right and title in the intellectual property, including copyright, in and to the Pitch Video, Final Video and Application and waives his/her moral rights therein in favour of the Sponsor and its affiliates; and (vi) agrees to indemnify the Releasees against any and all claims, damages, liabilities, costs, and expenses arising from use of the Pitch Video, Final Video and Application including, without limitation, any claim that the Pitch Video, Final Video and Application infringes a proprietary interest of any third party. If any team member of a selected entrant: (a) fails to return the properly executed Contest documents within the specified time; and/or (b) cannot accept a prize as awarded for any reason; then he/she will be disqualified (and will forfeit all rights to the prize) and the Sponsor reserves the right, in its sole and absolute discretion, to award the prize to another member of the selected entrant of its choosing or to select an alternate eligible entrant based on the next highest Score in accordance with these Rules to be the eligible winner of the prize (in which case the foregoing provisions of this section shall apply to such new eligible winner of the prize).

7. GENERAL CONDITIONS:

All Entries are perpetually licensed to the Sponsor, though ownership of the Entries is not transferred to the Sponsor. This Contest is subject to all applicable federal, state, provincial and municipal laws, but is governed by Canadian law, specifically the laws of Ontario and the federal laws of Canada applicable therein, without regard to principles of conflicts of law. The decisions of the Sponsor with respect to all aspects of this Contest are final and binding on all entrants without right of appeal, including, without limitation, any decisions regarding the eligibility/disqualification of Entries and/or entrants. By participating in this Contest, you (or your parent/legal guardian on your behalf if you are a Minor) are agreeing to be legally bound by the terms and conditions of these Rules.

The Releasees will not be liable for: (i) any failure of the Website during the Contest; (ii) any technical malfunction or other problems relating to the telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software; (iii) the failure of any Entry to be received for any reason, including, but not limited to, technical problems or traffic congestion on the Internet or at any website; (iv) any injury or damage to an entrantís or any other personís computer or other device related to or resulting from participating in the Contest; and/or (v) any combination of the above.

In the event of a dispute regarding who submitted an Entry, Entries will be deemed to have been submitted by the authorized account holder of the email address submitted at the time of entry. ďAuthorized account holderĒ is defined as the person who is assigned an email address by an internet provider, online service provider, or other organization (e.g. business, educational institute, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. An entrant may be required to provide proof (in a form acceptable to the Sponsor Ė including, without limitation, government issued photo identification) that he/she is the authorized account holder of the email address associated with the Entry in question and, if applicable, that he/she has all necessary consents, permissions and/or licenses as required by these Rules.

The Sponsor reserves the right, in its sole and absolute discretion, to withdraw, amend or suspend this Contest (or to amend these Rules) in any way, in the event of an error, technical problem, computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure or any other cause beyond the reasonable control of the Sponsor that interferes with the proper conduct of this Contest as contemplated by these Rules. Any attempt to deliberately damage any website or to undermine the legitimate operation of this Contest in any way (as determined by the Sponsor in its sole and absolute discretion) is a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law. The Sponsor reserves the right, in its sole and absolute discretion, to cancel, amend or suspend this Contest, or to amend these Rules, without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind, or for any other reason.

By entering this Contest, each entrant (or his or her parent/legal guardian on his or her behalf if he or she is a Minor) expressly consents to the Sponsor, its agents and/or representatives, storing, sharing and using the personal information submitted with his/her Entry only for the purpose of administering the Contest and in accordance with the Sponsorís privacy policy (available at: www.Desire2Learn.com/privacy).

The Sponsor reserves the right, in its sole and absolute discretion, and without prior notice, to adjust any of the dates and/or timeframes stipulated in these Rules, to the extent necessary, for purposes of verifying compliance by any entrant or Entry with these Rules, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of the Sponsor, in its sole and absolute discretion, affect the proper administration of the Contest as contemplated in these Rules, or for any other reason.

In the event of any discrepancy or inconsistency between the terms and conditions of these Rules and disclosures or other statements contained in any Contest-related materials, including, but not limited to: the Form, Website and/or point of sale, television, print or online advertising; the terms and conditions of these Rules shall prevail, govern and control.
